The problem

A generic contract can cost you your product

Many tech companies run on templates from the internet or handshake deals. That works until a customer complains about downtime, a developer walks off with the code or the SIC asks how you handle user data.

01

Who owns your code?

If a freelancer or agency built your software without a written IP assignment, ownership can be disputed right when you sell, license or raise money.

02

Unlimited liability

A SaaS agreement with no service levels or liability caps leaves you exposed to claims for outages, data loss or failures you cannot control.

03

Data privacy fines

If your platform collects user data, Colombia’s Law 1581 of 2012 requires a data policy and valid consent. SIC fines can reach 2,000 monthly minimum wages.

SaaS and software contracts

In a SaaS business, the contract is part of the product

It defines what your customer gets, what happens when the service fails, who owns the data and how the relationship ends. A solid agreement speeds up B2B sales and prevents disputes when something goes wrong.

We tailor every clause to your pricing model: per seat, subscription, usage based or per project.

Clauses we review

  • Scope of service and uptime commitments (SLA)
  • Liability caps and indemnities
  • IP ownership of the software and improvements
  • Ownership, use and return of customer data
  • Information security and confidentiality
  • Pricing, auto renewal and termination
  • Governing law and dispute resolution, including foreign customers

Tech startups

The legal paperwork your startup needs at each stage

We work with tech startups from the idea to the funding round. No unnecessary documents and no big firm fees: just what you need, when you need it.

Launch

FAQ

What clients usually ask us

What should a SaaS agreement include?

At a minimum: scope of service, uptime levels, pricing and renewal, liability caps, IP ownership, customer data ownership and handling, confidentiality and termination.

Who owns software a freelancer built for me?

It depends on the contract. The assignment of economic rights should be in writing. If you do not have one, we can help you put it in place.

Can software be registered in Colombia?

Yes. Software is protected by copyright and can be registered with the National Copyright Office (DNDA). It is optional, but it serves as proof of authorship and ownership.

When do I need an NDA?

Before sharing sensitive information with investors, partners, vendors, prospects or candidates: your code, business model, customers or numbers.

Is a data privacy policy mandatory?

Yes, if your company collects personal data such as names, emails or phone numbers. Law 1581 of 2012 requires it and the SIC can fine you for not complying.

Do you draft contracts in English?

Yes. We draft and review contracts in English for companies that sell to or contract with parties abroad.

How much does a tech contract cost?

It depends on the type of document and its complexity. We send you a quote before we start, with no commitment.
